10. INDEMNITY
The User shall indemnify SAASXCHANGE, LLC and/or any of its subordinate companies, members and/or any of its shareholders, officers, directors, managers, employees, for any claim, loss, damage, liability, cost, and expense (including costs of legal counsel), as actually proven and caused by claims or demands made by third parties in connection with the use of the Website and with these Terms and Conditions.
The User authorizes SAASXCHANGE, LLC to: i) intervene and represent the User in such claims, and may enter into such settlement agreements as it deems appropriate and that tend to avoid further costs and/or avoid eventual contingencies without limitation, in its name and on its behalf; ii) retain and debit from its account existing and/or future funds to recover expenses incurred in the settlements, which may include the fees of the intervening attorneys and court costs in a reasonable amount, and/or iii) generate specific debits in its billing.

These Terms and Conditions are governed by the laws of Puerto Rico and may be modified according to the service offered at any time, which will be published prior to its effective date.
